The AED 5.8 million fine handed to a UAE bank in early 2025 wasn't an isolated warning shot. It marked a fundamental shift: AI governance in financial services has moved from guidance to enforcement, from "best practices" to mandatory requirements with serious consequences for non-compliance.

The Central Bank of the UAE hasn't merely issued guidelines about AI. It has embedded AI governance into its supervisory framework. When CBUAE examiners conduct on-site inspections, they now explicitly assess:

  • Model validation documentation demonstrating accuracy, bias testing, and explainability

  • Incident response capabilities for AI-specific failures

This isn't theoretical supervision. The Central Bank has assembled specialised teams with AI and data science expertise specifically to evaluate financial institutions' AI implementations. They understand how models work, can assess technical documentation, and recognise governance deficiencies that less sophisticated overseers might miss.

Your Contribution to FATF Grey List Removal

The UAE's successful removal from the Financial Action Task Force (FATF) grey list in 2024 was attributed significantly to enhanced financial intelligence capabilities, many powered by AI. Transaction monitoring systems, suspicious activity detection algorithms, and enhanced due diligence tools helped demonstrate the UAE's commitment to combating money laundering and terrorism financing.

But this success created expectations. Financial institutions that benefited from AI's ability to detect suspicious patterns now face accountability for ensuring those same systems operate transparently, without bias, and with adequate human oversight. New CBUAE Law: What Changed in September 2025

Federal Decree-Law No. 6 of 2025, effective 16 September 2025, fundamentally expanded what activities require Central Bank licensing. The critical change for AI is Article 62's introduction of "technology enablement platforms" to the regulatory perimeter.

Explainable alerts: When your AI flags a transaction as suspicious, compliance analysts must understand why. "The model scored it 0.87" isn't sufficient explanation. You need systems that articulate: "This transaction was flagged because: (1) the transaction amount is 300% above the customer's typical range, (2) the beneficiary is in a high-risk jurisdiction, (3) the transaction pattern resembles known layering techniques."

False positive management: Transaction monitoring AI notoriously generates high false positive rates, sometimes 95%+ of alerts lead nowhere. Whilst some false positives are inevitable, excessive rates indicate poor model calibration. Regulators expect continuous optimisation to improve precision without sacrificing recall.

Human oversight protocols: The Central Bank has explicitly stated that AI cannot make final decisions about filing suspicious activity reports (SARs). Your workflow must include human analyst review of every AI-flagged transaction before regulatory reporting decisions.

Complete model inventory: Every AI/ML model in production, development, or pilot must be inventoried with:

  • Training and validation approach

Validation documentation: For each model, particularly those making credit, risk, or compliance decisions, maintain:

Communication plans: Who communicates with affected customers? What information do regulators need? When does the incident warrant public disclosure? AI incidents can quickly become reputational crises if poorly handled.

AI model marketplaces: Platforms offering pre-trained models for financial services use cases (credit scoring models, fraud detection models, risk assessment tools) likely fall within Article 62's scope.

Low-code/no-code platforms: Tools that allow financial institutions to rapidly build AI applications without extensive coding might be considered enablement platforms, particularly if they're purpose-built for financial services.

The Licensing Question You Must Answer

If you're unsure whether your technology requires CBUAE licensing, consider:

  1. Do you facilitate licensed financial activities? If your technology enables payments, credit decisions, insurance underwriting, investment advice, or other licensed activities, licensing may be required.
  2. Could your technology be used to circumvent licensing requirements? If someone could use your platform to provide financial services without obtaining their own licence, regulators will view your platform as requiring oversight.
  3. Do you have significant operational control? If you merely provide generic infrastructure (like AWS), licensing is unlikely. If you provide specialised capabilities for financial services or influence how those services operate, licensing becomes more likely.

The September 2026 Deadline

You have until 16 September 2026 to regularise your licensing status. But treating this as "plenty of time" is strategically unwise:

Early engagement benefits: Organisations that proactively engage with the Central Bank, seek clarification, and demonstrate compliance efforts gain regulatory goodwill. Those that wait until the deadline appear reactive and may face enhanced scrutiny.

Licensing processes take time: Obtaining CBUAE authorisation isn't quick. Applications require extensive documentation, business plan reviews, governance assessments, and often multiple rounds of clarification. Starting early prevents last-minute scrambles.

Competitive positioning: Being amongst the first properly licensed technology enablement platforms creates market credibility. Financial institutions prefer working with licensed, compliant providers over those in licensing limbo.

Practical implementation: If Article 62 might apply to your business, engage competent legal counsel familiar with CBUAE interpretations. Request pre-application guidance from the Central Bank. Document your compliance analysis even if you conclude licensing isn't required. This demonstrates diligence if regulators later disagree.

DIFC vs ADGM vs Mainland: Strategic Jurisdiction Selection

Where you establish your financial services operations significantly affects your AI governance obligations and opportunities.

Dubai International Financial Centre (DIFC)

Regulatory approach: Innovation-friendly with strong governance expectations. The Dubai Financial Services Authority (DFSA) emphasises principles-based regulation with clear rules for high-risk activities.

AI-specific advantages:

  • AI and Emerging Technology Regulatory Sandbox launched 2024, allowing controlled testing of novel AI applications with regulatory oversight
  • Data Protection Law explicitly addresses AI (Article 10 on autonomous systems)
  • Strong legal framework based on common law principles familiar to international institutions

Choose DIFC if: You're developing innovative AI applications and value sandbox access, prefer common law legal systems, and primarily serve international or Dubai-based clients.

Choose ADGM if: You have significant AI research components, want academic partnerships, and align with Abu Dhabi's strategic AI initiatives.

Choose mainland if: You need broad UAE market access, operate traditional financial services with established AI applications, or prefer direct CBUAE oversight without free zone complexity.

Many large institutions operate in multiple jurisdictions, carefully allocating activities to leverage each jurisdiction's advantages.

Building a Central Bank-Ready AI Programme

When CBUAE inspectors arrive (and they will) what will they look for?

Comprehensive AI inventory: Complete, current listing of every AI system with clear ownership and risk classification.

Documented governance framework: Written policies, approval workflows, risk assessment methodologies, and oversight structures specifically addressing AI.

Evidence of implementation: Not just policies on paper, but demonstration that governance actually operates. Meeting minutes, approval records, testing reports, monitoring dashboards, proof that governance is practised, not just documented.

Board engagement: Evidence that your board understands AI risks, reviews AI strategy, receives regular reporting, and provides appropriate oversight.

Incident preparedness: Documented incident response protocols with evidence of testing through tabletop exercises or actual incident responses.

Continuous improvement: Demonstration that you learn from incidents, regulatory guidance, and industry developments, not just implement governance once and forget it.
